  • Supply required materials, approvals, and access in a timely manner

  • Review and respond to communications within a reasonable timeframe

  • Ensure that any information or materials provided do not infringe third-party rights

We are not responsible for delays or limitations caused by missing information, delayed approvals, or third-party dependencies.

5. Payment and Fees

Fees for services will be agreed in advance and may be structured as:

  • Fixed project pricing

  • Monthly service retainers

  • Hourly support rates

  • Subscription services

Payment terms will be specified within individual service agreements or invoices.

Failure to make payment within agreed timeframes may result in:

Clients acknowledge that:

  • We cannot guarantee uninterrupted availability of third-party systems

  • Service limitations or outages outside our control may affect performance

7. Consultancy and Business Advice

Where services include strategic guidance, automation design, or business consultancy, any recommendations are provided in good faith based on available information and professional judgement.

However:

  • Business outcomes cannot be guaranteed

  • Clients remain responsible for all business decisions and actions

  • We are not responsible for financial outcomes or business performance resulting from the implementation of advice or systems

8. Intellectual Property

All intellectual property relating to the Site, including text, graphics, branding, and design, is owned by or licensed to DH Admin & Business Support and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or republish content from the Site without prior written permission.

Where services involve the creation of materials for clients (such as websites, documents, branding assets, systems, or other deliverables), ownership of those deliverables will generally transfer to the client upon full payment for the relevant services.

However, DH Admin & Business Support retains ownership of any underlying methodologies, templates, frameworks, processes, software configurations, or tools used to create those deliverables.

We also reserve the right to reference completed work in our portfolio or case studies unless otherwise agreed in writing.

9. Confidentiality

We recognise that services may involve access to sensitive business information.

We will treat client information as confidential and will not disclose it to third parties except:

  • Where required to deliver services

  • Where required by law

  • Where consent has been provided

Clients are responsible for ensuring that any information shared with us can be lawfully disclosed.

10. Limitation of Liability

To the fullest extent permitted by law:

DH Admin & Business Support shall not be liable for any indirect, incidental, or consequential losses arising from the use of the Site or Services.

This includes (but is not limited to):

  • Loss of business

  • Loss of revenue

  • Loss of data

  • Loss of anticipated savings

Our total liability for any claim relating to the Services will not exceed the total fees paid by the client for the relevant services.

Nothing in these Terms excludes liability where it cannot legally be excluded.

11. Termination

We may suspend or terminate access to the Site or Services where:

  • Payment obligations are not met

  • Misuse of services occurs

Clients may terminate services according to the terms defined within the relevant service agreement.

Termination does not remove responsibility for outstanding payments or obligations incurred prior to termination.

13. Governing Law

These Terms are governed by the laws of Scotland.
